  • Motion picture and television debt and equity financing, from independent productions to studio-level financings of $200 million and above
  • Slate co-financing and studio co-financing arrangements
  • Library transactions, including film library acquisitions and dispositions

We advise sponsors and managers of private credit funds, real estate funds, film and entertainment investment funds, and other alternative investment vehicles on the full life cycle of fund formation and ongoing operations — from offering documents (PPMs, subscription agreements, operating agreements) through fund dissolution and windup. Our partners have served as general counsel to active private lending funds and continue to advise on the structuring and closing of fund-level transactions.

We are one of California’s leading transactional practices in the senior housing investment sector. We structure and close joint ventures, equity investments, acquisitions, dispositions, and financings on assisted living, independent living, memory care, and skilled nursing properties throughout the United States — including multi-state portfolios spanning Florida, California, Kansas, Illinois, Kentucky, Tennessee, and Georgia and other territories. Our work spans operator-side, investor-side, and lender-side representations.

We represent institutional and private lenders, debt funds, and borrowers in commercial real estate financings of all sizes — from intercompany lines of credit and bridge loans to construction financings and structured mezzanine debt. Our partners have collectively closed many billions of dollars in commercial loan transactions, and have advised on debt placements alongside Wall Street investment banks, money-center commercial banks, sovereign wealth funds, publicly traded REITs, and high net worth investors. We bring expertise gained across multiple credit cycles.

We represent debtors and senior and mezzanine debt holders, sponsors, and special situations investors in the workout, restructuring, and recapitalization of distressed commercial loans and real estate debt positions. Our work includes:

  • CMBS workouts and special servicer matters
  • Mezzanine debt restructurings, including par sales, discounted payoffs, and equity conversions
  • Senior loan modifications, forbearance agreements, and pre-acquisition forbearance structures
  • Article 9 dispositions, deed-in-lieu transactions, and credit-bid structures
  • Receivership matters and related coordination with litigation counsel

We handle commercial real estate acquisitions and dispositions at every stage — letters of intent, due diligence, purchase and sale agreements, financing contingencies, and closing. Asset types include office, industrial and storage, hospitality, senior housing, multi-family, retail, mixed-use, and special-purpose properties (including church and institutional properties). We have represented a publicly traded national homebuilder on land acquisitions, and we regularly negotiate complex commercial leases on behalf of both landlords and tenants, including major developers and owners, national retail chains and large corporate occupiers.

Beyond commercial real estate, we represent borrowers and lenders in secured and unsecured financings across a range of industries — including aerospace, energy, apparel, services, and hospitality. Our partners have structured intercompany credit lines, working capital facilities, asset-based financings, and bespoke debt instruments tailored to the operational realities of specialized industries.

We structure, document, and close joint venture transactions on behalf of limited partners, debt and equity investors, sponsors, and developers. Our experience covers private equity funds, family offices, institutional capital, and operator-sponsors. We form, restructure, convert, and merge entities — LLCs, limited partnerships, and corporations — across California, Delaware, and other jurisdictions. Our M&A experience spans securities and asset purchases and sales across a wide range of industries.

We represent sponsors, investors, and family offices across the full investment life cycle — entity formation, sidecar and co-investment vehicles, portfolio company acquisitions and dispositions, and ongoing portfolio management. We have represented sponsors in private equity funds anchored by major foreign pension fund capital, and we routinely advise lead investors and family offices on real estate, operating-company, music, technology, and entertainment investments.

We represent ownership groups pursuing existing and expansion franchises in major professional leagues, and have presented to the assembled NFL ownership at multiple Super Bowls, as well as league meetings. We have also served as general counsel to a sports agency representing clients across all major professional leagues.

We represent collectors, galleries, lenders, and trustees in fine art acquisitions, sales, consignments, trustee arrangements, and art-secured lending — drawing on substantial experience with the unique issues that distinguish art transactions from other asset classes.
